標准銷售條款和條件

1. General Provisions

These terms and conditions apply to all sales of goods (merchandise), provision of services (film production, training), and digital content (apps, software) by KMG EDUCATION COMPANY LIMITED (hereinafter referred to as "KMG"). By placing an order, the Client explicitly waives its own standard terms and conditions.

2. Services (Film Production & Training)

  • Scope: Services will be performed based on the specifications agreed upon in the Quote or Contract.
  • Revisions: Unless stated otherwise, the price includes two (02) rounds of revisions/feedback. Further revisions will be charged at KMG’s standard hourly rate.
  • Timelines: KMG undertakes to do its best to adhere to agreed deadlines. However, KMG shall not be liable for delays caused by the Client (e.g., late feedback) or Force Majeure.

3. Intellectual Property Rights

  • Transfer of Rights: Upon full payment of all invoices, ownership of the final delivered product (e.g., the final video file) is transferred to the Client.
  • Retention: KMG retains ownership of all working files, project files, source codes, and preliminary drafts unless specifically agreed otherwise in writing. KMG reserves the right to use the work for its own portfolio and marketing purposes.

4. Physical Goods & Digital Products

  • Physical Goods: Risk of loss or damage to goods passes to the Client upon delivery. Claims for damaged/missing items must be made within 7 days of receipt.
  • Digital Products/Apps: Licensed on a non-exclusive, non-transferable basis. No refunds are provided for digital downloads or software access once granted.

5. Payment Terms

  • Deadlines: Invoices are payable within 14 days (or as specified on the invoice).
  • Late Payment: In the event of non-payment by the due date, KMG reserves the right to suspend services and charge a fixed interest payment amounting to 10% of the sum remaining due without prior warning.
  • International Taxes: All payments must be made in the full amount. The Client is responsible for any withholding taxes, bank charges, or transfer fees applied in their country.

6. Liability & Claims

  • KMG cannot be required to appear as a third party in claims filed against the Client by an end consumer.
  • Any claim regarding services or goods must be notified to KMG in writing within 14 days of delivery.

7. Governing Law

All contractual relations will be governed exclusively by the laws of Vietnam. Disputes shall be settled in the competent courts of Hanoi, Vietnam.
